ESGNexus Legal

These Terms and Conditions govern your use of ESGNexus.lk and all content, data, and services provided on the platform. By accessing or using ESGNexus.lk, you agree to these terms. If you do not agree, please do not use the platform.

1. About ESGNexus

ESGNexus.lk is operated by Brain Business and Technologies (Private) Limited, trading as ESGNexus, incorporated in Sri Lanka. The platform provides ESG, CSR, and sustainability intelligence focused on Sri Lanka’s corporate sector.

2. Acceptance of Terms

By accessing ESGNexus.lk, subscribing to our newsletter, submitting a contact form, or using any feature of the platform, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy.

ESGNexus reserves the right to update these terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the revised terms.

3. Permitted and Prohibited Use

Permitted Use

Read, share, and reference articles and reports, provided you attribute ESGNexus.lk as the source.
Subscribe to our newsletter and receive editorial updates.
Submit enquiries, correction requests, and data submissions via our contact forms.
Link to ESGNexus.lk pages from external websites or publications.

Prohibited Use

Scraping, crawling, or systematically extracting content or data from ESGNexus.lk without prior written permission.
Republishing, reproducing, or distributing ESGNexus content in bulk or in full without attribution and written consent.
Using ESGNexus data or content to build a competing product or service without a licensing agreement.
Attempting to access restricted areas of the platform or circumvent any security measures.
Submitting false, misleading, or defamatory content via any form or submission mechanism.
Using the platform in any way that violates Sri Lankan law or applicable international law.

Automated scraping of ESGNexus.lk – including use of bots, crawlers, or data extraction tools – is prohibited without a written data licensing agreement. Violations may result in legal action under applicable Sri Lankan intellectual property and computer misuse law.

4. Intellectual Property

ESGNexus Content

All original content published on ESGNexus.lk – including articles, analysis, company profiles, data summaries, graphics, and the ESGNexus brand identity – is the intellectual property of Brain Business and Technologies (Pvt) Ltd, unless otherwise stated.

You may quote up to 100 words from any ESGNexus article for commentary, criticism, or news reporting purposes, provided you clearly attribute ESGNexus.lk and link to the original article. Reproduction of full articles or substantial portions requires written permission.

Third-Party Source Material

ESGNexus publishes analysis and summaries based on publicly available documents including annual reports, sustainability reports, CSE filings, and regulatory publications. The intellectual property in those source documents remains with their respective owners.

ESGNexus Trademark

The ESGNexus name, wordmark, and logo are trademarks of Brain Business and Technologies (Pvt) Ltd. You may not use the ESGNexus name or logo without prior written permission, except to refer to the platform in a factual, non-misleading context.

5. Data Accuracy Disclaimer

ESGNexus publishes data sourced from publicly available documents. We do not independently audit or verify company disclosures. All data on ESGNexus.lk reflects what companies have publicly disclosed. Users should not rely solely on ESGNexus data for investment, regulatory, or commercial decisions without independent verification.

ESGNexus makes reasonable efforts to ensure accuracy and corrects errors when identified. However, ESGNexus does not warrant that any data, statistic, or company profile is complete, current, or error-free.

If you identify an error, report it via our Correction Policy process.

6. No Professional Advice

Nothing on ESGNexus.lk constitutes financial, investment, legal, regulatory, or professional advice of any kind. Content is provided for information and general intelligence purposes only.

ESGNexus is not a licensed financial adviser, legal practitioner, auditor, or ESG ratings agency. Users should seek independent professional advice before making decisions based on information published on ESGNexus.lk.

7. Limitation of Liability

To the fullest extent permitted by Sri Lankan law, Brain Business and Technologies (Pvt) Ltd and ESGNexus shall not be liable for:

Any loss or damage arising from reliance on information published on ESGNexus.lk.
Any inaccuracy, omission, or error in company data or profiles.
Any interruption, suspension, or unavailability of the platform.
Any loss of data, revenue, or business opportunity arising from use of the platform.
Any third-party content linked to or referenced from ESGNexus.lk.

ESGNexus’s total liability to any user for any claim arising from use of the platform shall not exceed LKR 10,000 or the amount paid by that user to ESGNexus in the preceding 12 months, whichever is lower.

8. Third-Party Links

ESGNexus.lk contains links to third-party websites including company websites, regulatory publications, and news sources. These links are provided for convenience and informational purposes only. ESGNexus does not endorse, control, or take responsibility for the content, accuracy, or availability of linked third-party sites.

9. Newsletter and Communications

By subscribing to the ESGNexus Weekly newsletter, you consent to receive periodic editorial communications from ESGNexus. You may unsubscribe at any time using the link in any newsletter. Our handling of subscriber data is governed by our Privacy Policy.

ESGNexus does not sell, rent, or share subscriber email addresses with third parties for marketing purposes.

10. User Submissions

When you submit content to ESGNexus via contact forms, correction requests, right-of-reply submissions, or any other mechanism, you grant ESGNexus a non-exclusive, royalty-free licence to use, publish, and reproduce that content in connection with our editorial and correction processes.

You warrant that any content you submit is accurate, not defamatory, and does not infringe the intellectual property rights of any third party. ESGNexus reserves the right to decline to publish any submission at its editorial discretion.

11. Privacy

Your use of ESGNexus.lk is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with the Sri Lanka Personal Data Protection Act No. 9 of 2022.

12. Governing Law

These Terms and Conditions are governed by the laws of Sri Lanka. Any dispute arising from your use of ESGNexus.lk shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

ESGNexus will make reasonable efforts to resolve disputes informally before initiating formal proceedings. To raise a dispute, contact hello@esgnexus.lk.

13. Suspension and Termination

ESGNexus reserves the right to suspend or terminate access to the platform for any user who violates these terms, engages in prohibited use, or acts in a manner that is harmful to the platform or its users.

ESGNexus also reserves the right to modify, suspend, or discontinue any part of the platform at any time, though significant changes will be communicated in advance where possible.

14. Entire Agreement

These Terms and Conditions, together with the Privacy Policy, Editorial Policy, Data Methodology, and Correction Policy, constitute the entire agreement between you and ESGNexus governing your use of the platform.
